TERMS AND CONDITIONS

Effective Date: 6 June 2026

SERVICES

Ezzy Automation LLC ("Company") provides business automation, CRM implementation, workflow automation, AI-powered communication systems, consulting, onboarding, and related technology services.

Services are customized to each client and may include setup, implementation, training, maintenance, and support.

CLIENT RESPONSIBILITIES

Client agrees to:

• Provide accurate business information.
• Provide access to required software platforms and accounts.
• Participate in onboarding and implementation activities.
• Review and approve deliverables in a timely manner.
• Maintain any required third-party subscriptions.

Delays caused by the Client may impact project timelines.

FEES AND PAYMENT

All fees are outlined in the approved proposal, invoice, or service agreement.

Monthly subscription fees are due in advance.

Setup fees are non-refundable once implementation work has begun.

Late payments may result in service suspension until payment is received.

MINIMUM SERVICE TERM

Certain service plans may require a minimum service commitment as specified in the signed proposal or agreement.

If Client terminates services prior to the completion of the minimum service term, any waived implementation fees may become immediately due.

NO GUARANTEE OF RESULTS

The Company provides automation tools, systems, and recommendations designed to improve operational efficiency and customer communication.

The Company does not guarantee:

• Revenue increases
• Specific lead generation results
• Specific conversion rates
• Business growth outcomes

Results may vary based on Client participation, market conditions, and business operations.

THIRD-PARTY SOFTWARE

Services may utilize third-party platforms including, but not limited to:

• GoHighLevel
• Google
• Meta/Facebook
• OpenAI
• Twilio
• Jobber
• ServiceTitan
• Housecall Pro

The Company is not responsible for outages, policy changes, pricing changes, or disruptions caused by third-party providers.

INTELLECTUAL PROPERTY

Templates, workflows, automation systems, documentation, and proprietary processes developed by the Company remain the property of Ezzy Automation LLC unless otherwise specified in writing.

Client receives a license to use systems developed for their business while services remain active.

CONFIDENTIALITY

Both parties agree to maintain the confidentiality of non-public business information disclosed during the course of the engagement.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Ezzy Automation LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of its services.

Company's total liability shall not exceed the amount paid by Client during the preceding three months.

TERMINATION

Either party may terminate services with thirty (30) days written notice following completion of any applicable minimum service term.

Upon termination:

• Access to Company-managed systems may be revoked.
• Outstanding balances become immediately due.
• Company is not responsible for maintaining systems after termination.

FORCE MAJEURE

The Company shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, internet outages, cyberattacks, government actions, labor disputes, or natural disasters.

GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted under the laws of the State of Texas.

ACCEPTANCE

By purchasing services, executing a proposal, signing an agreement, or submitting payment, Client acknowledges and agrees to these Terms and Conditions.
